the info they put in the spoilers seems to hint at the licence of season2

After watching all of volume two dubbed, I have to say that Irie is horribly misscast as well. It was rather painful sitting through most of his scenes in Tatarigoroshi-hen.

They didn't merge. Geneon now pays ADV to handle the release of all their titles. The only changes you may see are different marketing and maybe an ADV logo on the case.
