actually 1024 byte = 1 kb if I'm not mistaken, so at 38.4 kb your sig has 39322 bytes
I'd say reduce the size or quality a bit and you'll be fine. Don't take the sig warning personal the mods just wanna keep the forum user friendly for those who have a 56k connection.
